SCWorx entered a private placement for about $938,000 in gross proceeds from institutional, accredited investors.
Units were priced at $2.68 and include 350,000 common shares and warrants for 350,000 shares. The warrants have a strike price of $2.56, are exercisable immediately, and have a five-year term.
Warrants, fees and listing status
Existing holders exercised warrants for 50,000 shares; about 50,000 shares are to be issued to Dawson James as compensation.
Nasdaq trading has been suspended since April 14, 2026; the stock is now quoted on OTCQB while the company seeks to regain compliance.
Use of proceeds and investor protections
The proceeds will be held in a segregated account until Nov. 30, 2026. Investors can demand refunds if Nasdaq trading does not resume by Oct. 31, 2026.
