SecureTech Innovations scrapped plans to spin off AI UltraProd as a separately listed company, keeping it as a permanent wholly owned subsidiary.
AI UltraProd will be managed from the Roseville, Minnesota headquarters under consolidated leadership, targeting U.S. expansion and other markets.
Preferred stock issued under 2025 acquisition terms
SecureTech issued 357 additional shares of Series A Preferred Stock to AIUP Holding Limited under the 2025 acquisition terms.
SecureTech retains full voting and management control; AIUP Holding gained the right to designate one future board member.
