The board framed the contest as a challenge from Bradley Radoff and Michael Torok, accusing them of pushing an early sale and cash extraction.
Seer said it held six meetings with the dissidents since late 2024, disputing claims of poor engagement and board independence.
The company countered criticism on cash burn, citing a 36% decline since 2022 and a 19% drop in operating expenses in 2025.
