Senti Biosciences unit issues USD 2 million senior secured convertible notes to NSG BioInnovation Fund

Senti Holdings, a Senti Biosciences unit, closed a USD 2 million sale of Senior Secured Convertible Notes to NSG BioInnovation Fund.
The financing was completed on Sept. 3, 2026, under an April 27, 2026 securities purchase agreement that was amended on Sept. 1, 2026.
The note form was amended to add NSG as a purchaser under the agreement.
Separately, a Celadon affiliate committed to buy USD 2.5 million of common stock at Nasdaq’s “Minimum Price” around the merger closing.
