Share surrender and cancellation terms
The deal calls for the voluntary surrender and cancellation of 598,200 restricted post-reverse-split shares, equal to about 17,946,000 pre-reverse-split shares.
Closing requires transfer-agent confirmation that the shares have been cancelled and retired, restoring them to authorized but unissued status.
