Shengfeng Development outlined a shareholder vote on a 1-for-15 share consolidation to support Nasdaq’s US$1 minimum bid-price requirement.
The consolidation is slated for Sept. 4, 2026, or later if Nasdaq acceptance takes longer. There will be no fractional shares, with holdings rounded up.
The board said the stock had closed below US$1 for 24 consecutive business days as of July 28, 2026, nearing a deficiency trigger.
Shareholders will also vote on amended charter documents, including changes to allow ordinary resolutions by majority written consent.
Voting must be done by proxy, not via the live webcast. The record date is July 28, 2026, and the meeting is set for Aug. 25, 2026, in Beijing.
