Simulations Plus shareholders back merger agreement at special meeting

Simulations Plus held a special shareholder meeting on Aug. 27, 2026 to vote on its pending merger with an Altaris affiliate.

• Shareholders adopted the merger agreement, clearing a key step toward the transaction but not confirming the deal has closed.
• An adjournment authority to solicit additional proxies, if needed, was also authorized; the meeting ultimately was not adjourned.
• Closing remains subject to other conditions, including receipt or waiver of certain regulatory approvals in France.
