SMFG to make SMBC Nikko indirect unit via share exchange creating SMBC Nikko Securities Holdings
SMFG•Sumitomo Mitsui Financial Group will reorganize SMBC Nikko under a new intermediate holding company in Japan from Oct. 1, 2026. The share exchange will make SMBC Nikko a wholly owned unit of the holding company, while SMFG remains its indirect owner.

SMFG plans to reorganize SMBC Nikko under a new intermediate holding company in Japan from Oct. 1, 2026. A statutory share exchange will make SMBC Nikko a wholly owned unit of SMBC Nikko Securities Holdings, while SMFG remains its indirect owner.
2. Share exchange details
SMFG will transfer 200,002 SMBC Nikko shares to the preparatory company and receive one share of the holding company in exchange. The holding company will be formed by renaming SMBC Nikko Securities Holdings Establishment Preparatory Company when the transaction takes effect.
3. Governance goal
The structure is intended to strengthen governance of SMBC Nikko and SMBC Nikko Jefferies Securities under the wholesale Japanese equities integration plan.
