Key change: remove director departure or death as automatic Class B-to-Class A conversion triggers; conversion would hinge on transfer or beneficial ownership shifts.
Written member resolutions would no longer need unanimous consent; the threshold would drop to holders of at least two-thirds of total voting rights.
Voting at general meetings would move to poll-only, replacing the show-of-hands default.
Approval thresholds: Proposal One needs two-thirds of votes cast; Proposal Two needs a simple majority; both exclude abstentions from votes cast.
