The changes would remove automatic Class B-to-Class A conversion triggers tied to a director leaving office or the death of a Class B holder.
Proposed amendments to memorandum and articles
SMJ International will ask shareholders to adopt a second amended and restated memorandum and articles at a Sept. 15, 2026 meeting.
Written ordinary resolutions would need two-thirds support
Written ordinary resolutions would require signatures from holders of at least two-thirds of total voting rights, rather than unanimous consent.
