Solaris Energy Infrastructure acquired Omega Foundation Services to add specialized EPC and heavy civil construction capabilities to its power infrastructure platform.
Consideration included about $101 million in net cash, assumption of $28 million of debt and leases, and issuance of 3,600,000 Class A shares.
The deal expands Solaris Oilfield Infrastructure’s turnkey execution scope across site services, plant installation and commissioning, and electrical substation development.
Omega brings exposure to growth end markets such as large-scale data centers, LNG, industrial projects, and government work.
The transaction is expected to be immediately accretive to earnings and free cash flow per share.
