Solidion stands by below-market offer for Flux Power after board rejection
FLUX•Solidion Technology called its acquisition proposal for Flux Power its best and final offer after Flux’s board rejected it. Solidion estimated Flux needs at least $10 million in new capital and cited default risk and a July 24, 2026, Nasdaq notice over 30 days of trading below $1.
1. Offer remains unchanged
Solidion said it sees no basis to raise its previously disclosed acquisition proposal for Flux Power, calling it best and final after Flux’s board rejected it. Solidion cited Flux’s need for highly dilutive financing, elevated default risk and at least $10 million in new capital to meet its stated objectives; it also pointed to a July 24, 2026, Nasdaq bid-price compliance notice after 30 days of trading below $1. Solidion said it is pursuing other acquisition prospects in parallel.
