The business generates about $1.4 billion in annual sales, operates in 30+ countries, and is used by more than 75% of U.S. hospitals.
Completion is targeted within 12 to 18 months, with no final decision yet on structure or timing.
Morgan Stanley and Goldman Sachs are advising on the process, with Cleary Gottlieb serving as legal counsel.
