Sonida Senior Living updates bylaws to tighten stockholder nomination, proposal rules
SNDA•Sonida Senior Living’s board adopted amended and restated bylaws on Oct. 2, 2026, effective immediately. Changes include a 120-to-90-day advance-notice window, new disclosure updates and revised rules for claims and board governance.
1. Bylaw changes
The amended bylaws tighten stockholder nomination and proposal rules, including a 120-to-90-day advance-notice window and added disclosure updates. Delaware Chancery Court becomes the exclusive forum for intra-corporate claims, with Delaware state or federal courts as fallbacks; federal district courts become the exclusive venue for claims under the Securities Act of 1933.
2. Governance updates
The changes remove the board co-chair role, add a lead independent director framework, allow remote-only meetings and expand chair powers.
