Spruce Power subsidiaries amend KeyBank credit agreement to revise refinancing requirements
SPRU•Spruce Power subsidiaries amended the Second KeyBank Credit Agreement on October 30, 2026, replacing prior delivery requirements with a long-term financial model due November 9. A separate term sheet outlines a funded debt facility to refinance SP1–SP3 facilities.
1. Revised requirements
The amendment requires delivery of a comprehensive long-term financial model by November 9, 2026, reflecting the refinancing terms in a separate term sheet signed October 30 with a financial institution. KeyBank remains administrative agent.
2. Collateral provisions
The SP4/SP5 Collateral Addition becomes mandatory only if qualifying or lender-acceptable refinancing is not completed by the Refinancing Deadline. SP4 HoldCo and SP5 HoldCo must execute agreements supporting the collateral addition by November 9.
