SRx Health Solutions Acquires 4.99% of Smartkem, Files Form S-4 for EMJ Crypto Merger
SRXH•SRx Health Solutions has acquired a 4.99% equity stake in Smartkem, Inc. plus convertible preferred securities via a non-brokered private placement under its merger agreement with EMJ Crypto Technologies. The company has filed a Form S-4 registration statement to register common stock issued at closing of the proposed transaction.

SRx Health Solutions, together with EMJ Crypto Technologies, acquired a 4.99% equity stake in Smartkem, Inc. through a shelf takedown and also purchased convertible preferred securities in a non-brokered private placement, securing exposure to advanced materials technology.
2. Strategic Partnership with EMJ Crypto Technologies
The equity and preferred security purchases form part of a definitive merger agreement between SRx and EMJ Crypto Technologies, aiming to blend digital-asset treasury operations with Smartkem’s advanced materials capabilities.
3. SEC Registration Statement Filed
To facilitate the issuance of common stock upon closing, SRx filed a Form S-4 registration statement, which once declared effective will enable the distribution of shares required to complete the proposed merger and related equity transactions.
