• Tranche A warrants are priced at $1 each, have an exercise price of $11.5, and expire June 25, 2031.
• Tranche B warrants are priced at $0.75 each, have an exercise price of $15, and expire eight years from issuance.
• The issuance relied on Securities Act Section 4(a)(2).

StablecoinX entered restructuring deals on Aug. 21, 2026 that settle about $6.9 million of assumed convertible promissory notes.

• 5% of principal is to be paid in cash.
• 95% is to be paid via unregistered private placement warrants issued to former SPAC sponsors.
• Prior note claims were waived, and the notes will be canceled once the restructuring terms are met.
