Standard BioTools switches Mass Cytometry sale to Element Biosystems for $5.5 million cash
LAB•Standard BioTools signed a definitive agreement to sell its Mass Cytometry unit to Element Biosystems for $5.5 million in cash at closing, subject to adjustments. The deal replaces an agreement with Multiplex Bio and is targeted to close by the end of 2026.
1. Revised sale agreement
Standard BioTools replaced its prior Mass Cytometry sale agreement with Multiplex Bio with a definitive agreement to sell the unit to Element Biosystems, an acquisition vehicle formed by GMT Venture Partners. Element will pay $5.5 million in cash at closing, subject to adjustments; the earlier agreement was terminated after GMT submitted an unsolicited proposal on Aug. 29, 2026.
2. Merger exchange calculations
The revised terms increase net cash used in Treeline merger exchange-ratio calculations by about $15 million compared with the Multiplex Bio deal. Closing is targeted by the end of 2026, substantially concurrent with the planned Treeline transaction, subject to stockholder approval and customary conditions.
