Star Fashion Culture Holdings signed a subscription agreement to sell 2,000,000 Class B ordinary shares to Xingji Zhangpingting for USD 2.6 million.
The purchase price was set at USD 1.3 per share under Regulation S, with the shares issued in book-entry form. Closing is scheduled for July 2026.
The shares are designated as restricted securities under Rule 144, with a six-month Regulation S restricted period for U.S. resale.
