SNFI•Stark Novus Financial said stockholders did not approve a charter amendment at the December 11, 2025, annual meeting, despite about 91% of votes cast supporting it. 1. Vote fell short
Stark Novus Financial said stockholders did not approve a charter amendment at the December 11, 2025, annual meeting. About 91% of votes cast supported it, but approval required a majority of outstanding stock entitled to vote.
2. Protections remain
An October 20, 2026, correction filing voided the amendment from inception, leaving existing tax-benefit protection provisions unchanged. Transfer restrictions apply to transactions involving persons or groups beneficially owning, or acquiring, at least 4.5% of outstanding capital stock. The protections expire at the 2027 annual stockholders meeting.
