Court Extends WonderFi AGM Deadline to July 2, 2026 in Robinhood Deal
The Supreme Court of British Columbia approved extending WonderFi’s AGM deadline from August 24, 2025 to July 2, 2026 under s.186 of the BCBCA. Robinhood and WonderFi continue post-closing integration and still target completion of the share-acquisition plan in the first half of 2026, pending regulatory and other conditions.
1. Court Extends AGM Deadline
The Supreme Court of British Columbia issued an order under s.186 of the BCBCA extending WonderFi’s deadline to hold its annual general meeting from August 24, 2025 to July 2, 2026. This relief safeguards the timing requirements of the planned arrangement under which Robinhood will acquire all outstanding WonderFi shares.
2. Ongoing Post-Closing Integration
Robinhood and WonderFi are collaborating on post-closing integration work designed to facilitate deployment of Robinhood’s proprietary trading and technology platform in Canada. This effort includes technical alignment, regulatory compliance preparations and operational readiness across WonderFi’s regulated trading brands.
3. Transaction Timeline and Conditions
WonderFi continues to anticipate closing the arrangement in the first half of 2026, subject to satisfaction or waiver of remaining conditions, including regulatory approvals and completion of integration milestones. Failure to meet any requirement could impact the closing date or terms of the share-acquisition plan.
