Swarmer to acquire Ratel Robotics in cash-and-stock deal
Swarmer entered a definitive agreement to acquire Ukraine-based Ratel Robotics for up to $224 million in cash and stock.
Consideration includes earnouts tied to milestones; closing remains subject to customary conditions, including required approvals.
Ratel secured $86 million of contracts this year, with additional talks underway with NATO nations under the “Build With Ukraine” initiative.
The deal adds Ratel’s combat-used unmanned ground vehicles to Swarmer’s drone autonomy platform, broadening its ground-to-air launch and logistics capabilities.
Ratel’s more than 300 employees are expected to join, taking the combined workforce to nearly 500; founder Taras Ostapchuk would continue as CEO.
