Sysco amends revolving credit deal to add USD 750 million delayed-draw term loan with CoBank

Sysco amended its revolving credit agreement on Sept. 4, 2026 to add a USD 750 million senior unsecured delayed draw term loan facility.
The CoBank term loan is split into a USD 375 million six-year tranche and a USD 375 million eight-year tranche. Multiple draws are allowed within one year.
The facility was arranged with CoBank, with Bank of America as administrative agent, and includes lenders already in the revolving credit agreement.
Borrowings will rank pari passu with other debt under the revolving credit agreement and are backed by the same subsidiary guarantors as Sysco’s senior notes.
Proceeds are earmarked for general corporate purposes, including acquisitions, and are expected to help fund the proposed JRD Unico and Warehouse Realty deal.
