Ternium faces a Brazil lawsuit by CSN tied to a 2012 Usiminas stake purchase, seeking indemnification tied to alleged tag-along tender-offer obligations.
Brazil’s Superior Court of Justice reversed its earlier stance in June 2024, ordering indemnification; it reaffirmed the ruling in December 2024.
Potential exposure as of June 30, 2026: BRL 2.29 billion (USD 442.5 million) for Ternium Investments, BRL 810.9 million (USD 156.6 million) for Ternium Argentina.
An extraordinary appeal was filed to Brazil’s Supreme Federal Tribunal in February 2025; one related appeal remains pending there.
A USD 71.5 million provision was recorded in the first half of 2026, lifting the balance-sheet provision to USD 599.1 million.
