TNL Mediagene agrees to sell Japan business for $5.5 million in management buyout
TNMG•TNL Mediagene agreed to sell its Japanese business to MI Company, led by CEO Motoko Imada, for $5.5 million, subject to a net intercompany debt adjustment.
1. Deal terms
MI Company must fund at least $4.5 million by closing, including at least $2.5 million in cash, with the remainder provided through a secured promissory note. The note matures on Dec. 31, 2026, and is secured by a first-priority pledge of at least 55% of Imada’s MI Company shares. Closing is targeted on or before Oct. 30, 2026; TNL Mediagene plans to retain and run its Taiwan operations.
