TRMD•OCM Njord Holdings priced a secondary offering of 6,329,874 TORM Class A shares, with gross proceeds to the selling shareholder expected to be about $253.5 million. TORM is not issuing shares and will receive no proceeds.

The offering is expected to close on Oct. 7, 2026. OCM Njord held about 6% of TORM’s Class A shares before the offering, and J.P. Morgan Securities is the sole underwriter.
