TransCode Therapeutics held its 2026 annual stockholder meeting on July 20, 2026.
Stockholders authorized issuance of common stock upon conversion of Series A Non-Voting Convertible Preferred Stock and Series B Non-Voting Convertible Preferred Stock.
Stockholders also authorized issuance of common stock upon conversion of Series C Non-Voting Convertible Preferred Stock.
In addition, stockholders authorized issuance of common stock under the Standby Equity Purchase Agreement with YA II PN, Ltd. and related convertible promissory notes.
