1. Prepayment and waiver
TransCode Therapeutics executed a waiver with Yorkville tied to its April 6 Standby Equity Purchase Agreement financing. The $840,975 prepayment was made Oct. 1, 2026, and Yorkville waived any amortization event through Oct. 31, 2026, that would be triggered by VWAP below the $1.72 floor price. About $4.1 million in aggregate principal remains outstanding under the convertible notes.
