TransMedics entered a definitive agreement to invest in Germany-based PAD Aviation to establish a dedicated European air logistics network for organ transplantation supporting its OCS platform. The investment, expected to close later in 2026 pending regulatory approvals, will support the roll-out of European NOP services, beginning with Italy.
1. Investment in PAD Aviation
TransMedics has signed a definitive agreement to invest in PAD Aviation, a Germany-based private aviation operator with a 24/7 hub in Paderborn. PAD Aviation operates nine Embraer Phenom 300 jets and over 40 type-rated pilots, offering rapid organ transport across Europe.
2. European Transplant Logistics Network
The strategic investment aims to replicate TransMedics’ U.S. National Organ Program model by integrating air and ground logistics to support its OCS perfusion technology. This infrastructure is designed to expand access to donor organs and increase transplant volumes across the European Union, starting with operations in Italy.
3. Transaction Conditions and Timeline
The transaction is subject to customary closing conditions and applicable regulatory approvals, with an anticipated closing date later in 2026. Financial terms have not been disclosed, and there is no guarantee the transaction will be consummated.
