Transom Capital agrees to buy SoundThinking for $8 per share plus CVR up to $3
SSTI•Transom Capital agreed to acquire SoundThinking for $8 per share in cash plus a contingent value right worth up to $3, in a deal valued at about $114 million upfront or $159 million if the CVR pays out.
1. Deal terms and timing
The CVR payout is tied to 2027 revenue milestones for ShotSpotter and SafePointe, starting at $73.5 million and scaling up to $87 million. Shareholders representing about 33% of outstanding shares signed tender and support agreements. Closing is targeted for the fourth quarter of 2026, subject to customary conditions including a majority of shares being tendered; the stock is expected to be delisted.
