A $3 million capital raise in stated value from existing TruGolf Series A preferred holders is slated to close concurrently with the transaction.
Polymath reported $4.2 million revenue in 2025, with $21 million of assets.
TruGolf to acquire Polymath in stock deal
TruGolf agreed to acquire Polymath in a stock deal, moving the Polymesh tokenized-securities blockchain into a Nasdaq-listed company.
Polymath shareholders will receive TruGolf Class A common stock equal to about 19.9% of pre-close shares, plus non-voting Series C preferred stock.
Closing is expected in Q3 2026, subject to customary conditions, including TruGolf maintaining at least $10 million market value for 10 consecutive trading days.
