Shareholders approve charter changes at extraordinary meeting
Uni-Fuels Holdings held an extraordinary general meeting of shareholders on Sept. 8, 2026.
Shareholders adopted a third amended and restated memorandum and articles of association, changing written ordinary resolutions to a majority-signature standard.
The amended governing documents also added an exclusive forum provision for certain Cayman law and internal affairs claims.
Shareholders authorized directors to execute ancillary implementation documents and authorized the registered office service provider to make necessary Cayman filings.
Investors also approved authority to adjourn the meeting for additional proxy solicitation, though it was rendered without effect.
