UTHR•United Therapeutics acquired preclinical-stage Thymmune Therapeutics for $140 million upfront plus up to $160 million in potential earn-out payments tied to 2031 milestones. Thymmune’s iPSC-derived thymic cell therapy candidate THY-100 induced neo-thymus formation in animal studies and targets congenital athymia, transplant tolerance and autoimmune diseases.
1. Acquisition Terms
United Therapeutics has agreed to acquire Thymmune Therapeutics, a preclinical-stage biotech, for $140 million in cash and up to $160 million in earn-out payments contingent on clinical and regulatory milestones through 2031.
2. Thymic Cell Therapy Platform
Thymmune’s proprietary process converts human-induced pluripotent stem cells into functional thymic cells, laying the foundation for regenerative thymic therapies capable of restoring T-cell development.
3. Clinical Implications
In preclinical animal studies, treatment with THY-100 generated a neo-thymus that produced mature T-cells, addressing congenital athymia and potentially enhancing transplant tolerance and autoimmune disease treatments.
