UWM Holdings files draft information statement on related-party share issuances

UWM shareholders authorized issuance of up to 30 million Class A shares to SFS Group Capital upon warrant exercises.
Warrants cover 15 million shares at USD 6 per share, 15 million at USD 2 per share.
Shareholders also authorized issuances tied to a backstop for a planned 200 million-share Class A rights offering.
Backstop authorization includes up to 200 million Class A shares to SFS Group Capital, or up to 80 million shares via warrant exercises.
Actions follow UWMC’s announced USD 2.05 billion strategic capital partnership, including USD 1.65 billion of Series A Preferred Stock.
