A Bermuda court sanction hearing for Valaris’ scheme of arrangement for its acquisition by Transocean is scheduled for Nov. 26, 2026, at 11 a.m. Bermuda time. Shareholder votes at both companies are scheduled for Nov. 24, and the court application depends on their approval.
2. Exchange terms
The acquisition would exchange each outstanding Valaris common share for 15.235 Transocean shares. Completion is expected around Dec. 1, 2026, subject to court sanction and satisfaction of all closing conditions.
