VBIO•Valion Bio entered a $50,000 private placement with 3i LP for 50 Series B non-voting convertible preferred shares. The deal also includes warrants for 1,539 common shares at an initial exercise price of $2.5520 per share.

Valion Bio entered the private placement with 3i LP, subject to closing conditions in a side letter dated Oct. 7, 2026. The securities were issued in an unregistered sale under Securities Act Section 4(a)(2) and/or Rule 506(b).
