Venu Holding closed a USD 25 million debt financing to fund construction of its 12,500-seat Regent Bank Amphitheater in Broken Arrow, Oklahoma.

• USD 12.5 million was funded at closing; another USD 12.5 million will be released subject to specified closing conditions.
• The financing is structured as a secured convertible debenture and is expected to be repaid in cash.
• The lender can convert into common shares only if there is a payment failure or an event of default.
• The transaction is intended to bridge to previously announced C-PACE permanent financing, targeted to close in the third quarter of 2026.
