Securities purchase agreement includes warrants and debentures

Venu Holding Corporation entered a securities purchase agreement on July 31, 2026 that includes warrants to purchase up to 1,000,000 common shares alongside $25 million of senior secured convertible debentures.

The warrants were issued separately but purchased together with the debentures.

Net proceeds are expected to be used primarily to fund construction and development of the Sunset BA amphitheater project in Broken Arrow, Oklahoma.
