Strategic adviser appointment and board nomination

Venu named former ASM Global CEO Ron Bension as strategic advisor to CEO J.W. Roth to assess growth opportunities.
Bension was also nominated for election to the board at the 2026 annual meeting, subject to shareholder approval.
He led ASM Global through its USD 2.3 billion acquisition by Legends, completed in August 2024.
