VRME•VerifyMe will implement a 1-for-10 reverse stock split on Sept. 29, 2026; its previously declared $0.15-per-share special dividend would adjust to $1.50 if the merger closes.

The split takes effect at 12:01 a.m. ET on Sept. 29, and shares will trade on a post-split basis at the Nasdaq open under the VRME ticker. Each 10 common shares will become one share, with fractional shares rounded up; the split will not change shareholders’ percentage ownership or reduce authorized common shares.
