Verra Mobility details separation terms for interim CEO Jon Keyser in amended 8-K filing
VRRM•Verra Mobility amended an 8-K to detail interim CEO Jon Keyser’s separation terms ahead of Jon Newhard becoming CEO on Nov. 1, 2026. Keyser will receive $650,000 in cash severance, accelerated RSU vesting valued at $2.25 million, a $2.2 million retention payout and other compensation.
1. Separation terms
Keyser’s last day as interim CEO is Oct. 31, 2026, and he will remain as a special advisor through Dec. 31. The agreement treats his exit as a termination without cause, with salary continuing at an annual rate of $650,000 through Dec. 31.
2. Additional compensation
Severance includes $650,000 in cash, 12 months of COBRA costs, accelerated RSU vesting valued at $2.25 million and a $2.2 million retention payout. Keyser is eligible for a discretionary 2026 bonus, payable by March 15, 2027, and a $200,000 transition bonus tied to performance and release conditions.
