1. Deal terms
Viatris plans to fund the acquisition mainly with excess cash, with the balance from short-term borrowings, and expects minimal impact on leverage. Pacira would become a wholly owned subsidiary, and its Nasdaq listing would end after the deal closes.
2. Pacira business
Pacira’s portfolio includes EXPAREL and ZILRETTA. For the 12 months ended June 30, 2026, it generated about $746 million in revenue and $177 million in adjusted EBITDA.
