Vinci Compass to acquire AustralRe for R$336 million

Vinci Compass will acquire AustralRe for an estimated R$336 million, valuing the reinsurer at 1.0 times tangible book value. Consideration is expected to comprise approximately R$247 million in cash and 1.7 million new VINP Class A common shares. Closing is expected in the first quarter of 2027, with immediate double-digit accretion to distributable earnings per share.
2. AustralRe operations
AustralRe operates in 16 Latin American countries and has R$3 billion in gross written premiums and R$1.8 billion in cash and investments. The acquisition will launch Vinci Permanent Capital Solutions, which will provide capital to support GP commitments and seed new investment strategies.
