VisionWave Acquires $60M xClibre AI Video IP with 7M-Share Deal
VisionWave Holdings has acquired xClibre AI video intelligence IP valued at $60 million in a deal comprising 3.5 million shares at closing, 3.5 million contingent shares, and a $6 million promissory note. The acquisition adds a ‘video-as-a-sensor’ layer to its RF-based counter-UAS, interceptor, and UGV platforms, with POC due in H2 2026.
1. Acquisition Details
On April 13, 2026, VisionWave Holdings completed the acquisition of xClibre AI video intelligence IP, independently valued at $60 million by BDO Consulting. Transaction terms include 3.5 million shares issued at closing, 3.5 million contingent shares pending proof-of-concept and shareholder approval, plus a $6 million promissory note, with the IP assigned to a new subsidiary, xClibre Inc.
2. Strategic Rationale and Technology
The xClibre platform introduces a video-as-a-sensor layer to VisionWave’s existing RF-based detection stack, enabling real-time AI-driven threat classification, automated behavioral analytics, rapid forensic search, and visual confirmation of RF-detected contacts. Its edge-first architecture processes data locally without cloud dependency, ideal for bandwidth-constrained and data-sovereign defense environments.
3. Proof-of-Concept and Commercialization
VisionWave targets a structured proof-of-concept evaluation with an industry partner in H2 2026 to validate detection accuracy, false-alert performance, and system integration. Upon successful validation and shareholder approval, the remaining 3.5 million contingent shares will vest, and commercialization will proceed via OEM embedding, platform integration, and expansion into defense, critical infrastructure, and smart environment markets.
