Total consideration includes 7 million common shares (3.5 million issued at closing; 3.5 million contingent on H2 2026 proof-of-concept and Nasdaq shareholder approval) and a $6 million promissory note.
2. Integration Roadmap and Proof-of-Concept
VisionWave will assign the acquired IP to a new subsidiary, xClibre Inc., creating a dedicated commercial vehicle. The platform will integrate into the Argus™ counter-UAS system and interceptor workflows, with a proof-of-concept evaluation set for H2 2026 to validate performance and trigger the release of contingent shares.
