VisionWave signs term sheet for up to 51% of Foresight Autonomous for $17.5 million, with 45% at closing and 6% contingent on a pilot. 1. Term Sheet for Foresight Majority Stake

On April 21, VisionWave signed a non-binding term sheet to acquire up to 51% of Foresight Autonomous for $17.5 million in equity. The structure calls for 45% at initial closing and a 6% tranche contingent on the start of a qualifying defense or security pilot project.

2. Three-Layer Counter-UAS Architecture

The transaction adds Foresight’s camera-based stereo vision and thermal imaging perception to VisionWave’s RF sensing core and the xClibre™ AI video intelligence platform (valued at $60 million). Together, these layers will feed into the Argus™ counter-UAS system, combining wide-area RF detection, machine vision confirmation and AI analytics.

3. False-Positive Reduction and Decision Speed

By visually confirming RF-detected aerial threats and applying real-time behavioral analytics, the integrated stack aims to lower false-positive engagement rates and accelerate detection-to-decision timelines. The architecture is designed for contested environments where rapid, accurate threat classification is critical.

4. Due Diligence, Approvals and Timeline

The investment remains subject to due diligence, definitive agreement negotiations, regulatory and shareholder approvals under Nasdaq rules, and pilot validation. VisionWave targets completion of proof-of-concept testing in H2 2026, after which the contingent equity tranche and platform integration steps could proceed.
