VisionWave signs a term sheet to acquire up to 51% of Foresight Autonomous for $17.5M in equity, adding stereo vision and thermal imaging to its RF sensing core. It layers on April 10’s $60M xClibre AI video analytics IP to form a three-layer Argus counter-UAS platform reducing false-positive engagements.

1. Strategic Investment Term Sheet

VisionWave has signed a non-binding term sheet to acquire up to 51% of Foresight Autonomous in exchange for $17.5M in VWAV equity, with 45% issued at initial closing and an additional 6% contingent on a defense-sector pilot project. Completion is subject to due diligence, definitive agreements and regulatory and shareholder approvals.

2. Three-Layer Counter-UAS Architecture

The Foresight deal adds camera-based stereo vision and thermal imaging to VisionWave’s RF detection core and complements the April 10 acquisition of xClibre AI video analytics IP valued at $60M. Together, these components form a heterogeneous RF, computer vision and AI analytics stack for the Argus counter-UAS platform.

3. Next Steps and Market Context

A proof-of-concept with an industry partner is targeted for completion in H2 2026 to validate integration and reduce false-positive engagement rates.
