VistaGen Therapeutics adopted an amended change-in-control executive severance plan effective Oct. 7, 2026. It extends severance eligibility to involuntary terminations without cause even when no change in control occurs.
2. Payment terms
Cash severance is set as multiples of base salary and paid in a lump sum, tied to a defined severance period. COBRA support is a lump-sum cash payment based on monthly premiums over a defined continuation period. The plan generally requires 12 months of full-time service; current executive officers qualify as eligible employees.
