Expected filing and delisting timeline

A Form 25 filing is targeted for about Sept. 24, 2026; last Nasdaq trading is expected about Oct. 2, 2026; and delisting is expected to be effective about Oct. 4.

A Form 15 filing is planned for about Oct. 5, 2026 to suspend Exchange Act reporting, and Section 12(b) deregistration is expected 90 days after the Form 25.

Board approves voluntary delisting plan

Waldencast board backed a plan to voluntarily delist its Class A Ordinary Shares and Warrants from Nasdaq.

Planned company renaming and OTC quotation

The board also resolved to recommend renaming the company Milk Makeup.

OTC quotation is targeted under ticker MLKM with annual audited financial statements.
