Waldencast plans to voluntarily delist its Class A ordinary shares and redeemable warrants from Nasdaq.

Form 25 filing targeted for about Sept. 24, 2026; delisting expected around Oct. 4, 2026; last Nasdaq trading seen Oct. 2, 2026.

Form 15 filing targeted for about Oct. 5, 2026 to deregister under the Exchange Act, suspending periodic SEC reporting immediately.

Warrant terms and expected OTC trading

Warrant terms unchanged; each whole warrant remains exercisable for one Class A ordinary share at $11.5 per share.

Post-delisting, shares expected to seek OTC quotation under ticker “MLKM”; no assurance of OTC trading.
